Legal Advice on Property related matters
We assist clients with a wide range of legal services relating to immovable property.
Property transactions and property-related arrangements often involve more than simply signing an agreement and registering transfer. Each matter must be considered carefully, having regard to the nature of the property, the rights of the parties, the applicable legal requirements, municipal requirements, Deeds Office practice, and any practical issues that may affect the use, value or transferability of the property.
We assist clients with the drafting, review and implementation of agreements and documents relating to, among others:
• agreements of sale for immovable property;
• offers to purchase;
• estate agent mandates and commission arrangements;
• transfers of residential, commercial and agricultural property;
• farm land and agricultural holdings;
• subdivision of land;
• consolidation of properties;
• servitudes;
• notarial deeds;
• exclusive use areas in sectional title schemes;
• sectional title transactions and related property rights;
• endorsements and rectification of title deed issues;
• property descriptions and Deeds Office requirements;
• registration and cancellation of bonds;
• municipal clearance issues;
• transfer duty and SARS-related conveyancing requirements;
• rights of way, access arrangements and shared-use arrangements;
• water rights and other rights affecting agricultural property;
• zoning, land-use and town-planning considerations;
• conditions of title;
• restrictive conditions;
• estate transfers involving immovable property; and
• general advice on property-related disputes, risks and obligations.
Agreements of Sale
An agreement of sale is the legal foundation of a property transaction. It records the rights and obligations of the seller and purchaser and determines the basis upon which transfer will proceed.
A properly drafted agreement should clearly identify the parties, correctly describe the property, record the purchase price and payment terms, deal with occupation and occupational rental, provide for compliance certificates, regulate risk, and address any suspensive conditions or special arrangements between the parties.
Poorly drafted agreements often lead to uncertainty, delay, financial loss or disputes. For this reason, we assist clients not only with the drafting of agreements, but also with the review of agreements prepared by estate agents, sellers, purchasers or other third parties before signature.
Subdivisions, Consolidations and Servitudes
Many property matters require careful planning before transfer can take place. This is especially important where land is to be subdivided, consolidated, accessed through another property, or burdened or benefited by a servitude.
We assist clients in understanding the legal implications of these arrangements and in preparing the necessary documentation to give effect to them. Servitudes, for example, may relate to rights of way, pipelines, services, access, water, or other rights over land. If not properly recorded, they can create uncertainty and future disputes.
Similarly, subdivisions and consolidations often involve municipal approvals, diagrams, conditions of approval, title deed considerations and Deeds Office requirements. These matters must be dealt with correctly to ensure that the intended result can be lawfully registered.
Sectional Title and Exclusive Use Areas
Sectional title property often involves additional legal considerations. Apart from the sale or transfer of a unit, issues may arise regarding exclusive use areas, parking bays, gardens, storerooms, body corporate rules, participation quotas and the rights and obligations of owners within the scheme.
We assist clients with the interpretation, drafting and registration of documents relating to sectional title property, including matters involving exclusive use areas and related notarial deeds where required.
Agricultural and Rural Property
Agricultural property and farm land frequently involve issues not encountered in ordinary residential transactions. These may include access roads, water rights, servitudes, land-use restrictions, subdivisions, mineral or other rights, boundary issues, existing leases, occupation arrangements and compliance with relevant statutory or municipal requirements.
We assist clients in identifying these issues early and ensuring that the necessary contractual and conveyancing arrangements are properly dealt with.
